1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Wholly Cookies LLC("Company," "we," "us," or "our") governing your access to and use of whollycookies.com, as well as any orders placed for bakery products, gift cards, shipping, pickup, or inquiries. By placing an order or browsing our website, you agree to be bound by these Terms.

2. Ordering, Pricing & Payments

All purchases placed through whollycookies.com are subject to product availability and acceptance by Wholly Cookies LLC.

• Pricing: All prices are displayed in USD ($) and do not include applicable state taxes, local fees, or shipping charges unless explicitly stated. Prices are subject to change without prior notice.
• Payment Processing: Payments are securely tokenized and processed via Square. By submitting payment, you authorize Square to charge your card for the order total.
• Order Modifications: Because our cookies are baked fresh to order each morning, order cancellations or address updates must be requested at least 24 hours prior to the scheduled bake date by contacting support@whollycookies.com.

4. Shipping & Perishable Product Guarantee

We take pride in baking every batch fresh. For nationwide orders, we utilize UPS 2-Day Air shipping. Due to the perishable nature of freshly baked goods:

• All sales are final once an order has been baked and shipped.
• If an order arrives damaged or incorrect, please notify us within 24 hours of delivery at support@whollycookies.com with your order number and photos of the package for a prompt replacement or refund review.
• Wholly Cookies LLC is not responsible for shipping delays caused by incorrect delivery addresses, severe weather events, or carrier delays beyond our reasonable control.

5. Intellectual Property Rights

The website whollycookies.com and its entire contents, features, branding, recipe formulations, photography, graphics, and logos ("Wholly Cookies!") are the exclusive property of Wholly Cookies LLC and are protected by United States trademark, copyright, and trade secret laws. All rights reserved. You may not reproduce, distribute, or modify any material from our website without prior written permission.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Wholly Cookies LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our website or products. Our total liability for any claim shall not exceed the total amount paid by you for the specific purchase giving rise to the claim.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in San Mateo County, California.
